6.1 Subject to the Society Act, every Director of the Society shall be deemed to have assumed office on the express understanding and agreement and condition that every Director of the Society and his heirs, executors, and administrators and estate and effects respectively shall from time to time and at all time be indemnified and saved harmless out of the funds of the Society from Director sustains or incurs in or about any action, suit or proceedings which is brought, commenced or prosecuted against him for or in respect of any act, deed, matter or thing whatsoever made, done or permitted by him or any other Director or Directors in or about the execution of the duties of his or their office, and also from and against all other costs, charges and expenses which he sustains or incurs in or about or in relation to the affairs thereof except such costs, charges or expenses as are occasioned by his own willful neglect or default. 6.2 The president shall preside at all meetings of the Society and of the Directors. 6.3 The president is the chief executive officer of the Society. 6.4 The vice president shall carry out the duties of the president during his absence 6.5 The secretary shall 6.5.1 Conduct the correspondence of the Society; 6.5.2 Issue notice of meetings of the Society and Directors; 6.5.3 Keep minutes of all meetings of the Society and Directors; 6.5.4 Have custody of all records and documents of the Society except those required to be kept by the treasurer; and 6.5.5 Have custody of the common seal of the Society. 6.6 The treasurer shall 6.6.1 Keep such financial records, including books of account, as are necessary to comply with the Society Act; 6.6.2 Render financial statements to the Directors, members and others when required; 6.6.3 Deposit all moneys or other valuable effects in the name and to the credit of the Society in such financial institute as may from time to time be designated by the Board of Directors; and 6.6.4 Disburse the funds of the Society under the direction of the Board of Directors. 6.7 In the absence of the secretary from a meeting, the Directors shall appoint another person to act as secretary at the meeting. 6.8 Deed, transfers, licenses, contracts and engagements on behalf of the Society shall be signed by the president, vice-president, or secretary and the secretary shall affix the seal of the Society to such documents as required. 6.9 All cheques, bills of exchange or other orders for the payment of money, notes or other evidences of indebtedness issued in the name of the Society, shall be signed by the president, vice-president or treasurer together or shall be determined by resolution of the Board of Directors. |
